CloudStack, LLC (“CloudStack,” “Msty,” “we,” “us,” or “our”) provides Msty Nexus. These Msty Nexus Terms (“Terms”) govern your access to and use of Msty Nexus, including the desktop application, local gateway, cloud console, downloads, updates, subscriptions, support, and related services.
If you use Msty Nexus on behalf of an organization, you represent that you have authority to accept these Terms for that organization. If you do not agree to these Terms, do not use Msty Nexus.
Relationship to Other Terms
These Terms are specific to Msty Nexus. They supplement any order form, subscription checkout, written agreement, privacy policy, data processing agreement, or other terms that apply to your use of Msty products. If there is a conflict between these Terms and a signed written agreement with CloudStack, the signed written agreement controls for the conflicting subject.
We may update these Terms as Msty Nexus changes. Continued use of Msty Nexus after an update means you accept the updated Terms.
What Msty Nexus Does
Msty Nexus is an inference gateway and control layer for AI tools. It can connect approved applications to local runtimes and online model providers, route requests, manage provider credentials, issue local client tokens, apply presets and guardrails, and provide usage visibility.
Msty Nexus does not make you compliant by default. You are responsible for deciding which models, providers, runtimes, network paths, users, applications, logs, and controls are appropriate for your environment.
Editions and Licensing
Subject to your compliance with these Terms and payment of any applicable fees, CloudStack grants you a non-exclusive, non-transferable, revocable right to install, access, and use Msty Nexus for your permitted use.
Free Edition
The Free Edition allows you to download and run Msty Nexus locally within the published Free Edition limits. Free Edition limits may include limits on managed machines, created client tokens, cloud console access, team administration, logging depth, routing controls, or other features.
Pro Edition
The Pro Edition is a paid edition for users or teams that need expanded access, protection, observability, cloud console access, and higher published limits. Pro usage is governed by the active subscription, checkout terms, pricing page, or order confirmation.
Enterprise Edition
The Enterprise Edition is intended for larger organizations, stricter environments, and managed deployments. Enterprise terms, capacity, support, security requirements, renewal rules, and deployment commitments may be governed by a written agreement or order form.
Capacity and Feature Limits
Published limits may be based on managed machines, created client tokens, or other capacity measures. Pricing is not based on the number of gateway requests unless we expressly say otherwise. Third-party provider costs, token charges, rate limits, and infrastructure costs remain your responsibility.
Beta Status
Msty Nexus may be offered as a beta, preview, or early-access product. Beta features may change, break, be removed, or become paid features. Msty Nexus is provided on an “as is” and “as available” basis during beta. You understand and agree that use of Msty Nexus beta features is at your own risk.
Your Configuration Responsibilities
You are solely responsible for how Msty Nexus is configured and used, including:
- Runtime access, local model setup, provider setup, and model availability.
- Provider credentials, API keys, account permissions, and provider billing settings.
- Model routing, Smart Routes, presets, aliases, fallbacks, and acceleration settings.
- App access, local client tokens, token scope, token rotation, and token revocation.
- Network exposure, LAN access, firewall settings, reverse proxies, VPNs, tunnels, and remote access.
- Logs, usage visibility, retention settings, exports, backups, and operational records.
- Third-party applications, integrations, tools, agents, scripts, or workflows connected to Nexus.
Provider Credentials, Tokens, and Costs
Msty Nexus can store or route requests through provider credentials and local client tokens you configure. You are responsible for protecting those credentials and tokens, limiting who can access them, and revoking them when access is no longer appropriate.
You are responsible for all model-provider costs, token usage, account limits, rate-limit consequences, and infrastructure costs caused by your configuration, connected applications, users, agents, scripts, or workflows. Smart Routes, load balancing, caching, or other routing features may help control usage, but they do not guarantee lower cost, higher availability, or specific provider behavior.
Data, Privacy, and Third-Party Services
Msty Nexus is designed to run as a local gateway and keep model plumbing under your control. Local prompts, responses, provider credentials, model data, logs, and configuration may remain on your machine or infrastructure unless you configure Nexus, a connected app, a cloud console feature, a provider, or another integration to transmit data elsewhere.
If you use Msty Nexus with online model providers, third-party tools, external endpoints, model hosts, payment processors, cloud console features, support channels, or other services, those services may receive and process data under their own terms and privacy policies. You are responsible for reviewing and approving those services for your use case.
CloudStack may process limited account, licensing, billing, support, download, cloud console, organization, machine, client, usage, security, and operational metadata as needed to provide and improve Msty Nexus services. Review the Msty Privacy Policy at msty.ai/privacy for more information.
Security
You are responsible for the security of your environment, data, credentials, tokens, provider accounts, connected applications, network configuration, and backups. Msty Nexus includes controls that can support safer deployment, but no product can guarantee perfect security.
Guardrails such as PII identification, PII redaction, key blocking, routing rules, and other protective controls are intended to provide an additional layer of protection. They do not guarantee that all sensitive, confidential, personal, regulated, or proprietary data will be identified, captured, redacted, blocked, or prevented from being sent to third parties. You remain responsible for reviewing your configuration, connected applications, provider settings, logs, and outputs before using Msty Nexus with sensitive data.
Do not expose Nexus to a network, user group, client application, or remote access path unless you understand and accept the risk. You are responsible for configuring authentication, authorization, firewall rules, and monitoring appropriate to your environment.
Regulated and Sensitive Data
You are responsible for determining whether Msty Nexus is appropriate for confidential, regulated, personal, health, financial, legal, export-controlled, or other sensitive data. Do not use Msty Nexus for regulated workloads unless you have implemented appropriate controls and have any required written agreements in place with CloudStack and any third-party providers you use.
Acceptable Use
You may not use Msty Nexus to:
- Violate applicable law or third-party rights.
- Bypass licensing, subscription, access, security, or rate-limit controls.
- Share, sell, rent, sublicense, or distribute licenses except as expressly permitted.
- Attempt to reverse engineer hosted services, cloud console features, licensing systems, or protected components except where law expressly permits.
- Connect Nexus to applications, agents, tools, or workflows intended to cause harm, unauthorized access, credential theft, data exfiltration, or service abuse.
Updates and Availability
We may release updates, change features, modify limits, suspend features, or discontinue beta functionality. Some updates may be required for security, compatibility, licensing, or continued service access. We are not responsible for issues caused by delayed updates, unsupported operating systems, incompatible runtimes, third-party provider changes, or unsupported configurations.
Suspension or Termination
We may suspend or terminate access to paid features, cloud console features, licensing, support, or related services if you violate these Terms, fail to pay applicable fees, misuse the product, create security risk, or use Nexus in a way that may harm CloudStack, customers, providers, or third parties.
You may stop using Msty Nexus at any time. Subscription cancellation, renewal, refund, and termination rules are governed by the checkout terms, order form, written agreement, or applicable law.
Disclaimers
To the maximum extent permitted by law, Msty Nexus is provided “as is” and “as available.” CloudStack disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, security, accuracy, and uninterrupted operation.
CloudStack does not warrant that Msty Nexus will prevent data loss, provider cost overruns, unauthorized access, harmful model outputs, downtime, routing errors, provider failures, or configuration mistakes.
Limitation of Liability
To the maximum extent permitted by law, CloudStack is not liable for damages, losses, incidents, costs, claims, or liabilities arising from use or misuse of Msty Nexus, including:
- Damage to your computer, software, systems, network, cloud accounts, or environment.
- Loss, corruption, exposure, or leakage of data.
- Unauthorized access to credentials, tokens, models, runtimes, connected applications, logs, usage records, provider accounts, or infrastructure.
- Unexpected model-provider costs, token usage, billing consequences, rate-limit consequences, or infrastructure charges.
- Unauthorized actions, harmful outputs, hallucinated outputs, unsafe outputs, or misuse by you, your users, connected applications, agents, tools, workflows, or third parties.
- Direct, indirect, incidental, consequential, special, exemplary, or punitive damages related to Msty Nexus.
